If you’ve been approached by a potential investor and have been given a term sheet (aka letter of intent or mou), chances are you will need to hire your own venture capital attorney. This is not easy, for several reasons.
1. Lawyers are expensive. Some may charge over US$800 per hour.
2. Lawyers are everywhere. Do a search on the internet and you will be able to find a list of lawyers in your area.
3. Some lawyers are better lawyers and others. But you may not know who are good and who aren’t.
Personally, I have worked with many venture capital and private equity lawyers based in the US and Asia. I have a fair idea of how much they cost and their experience.
